Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN.

ENTRANTS MUST BE EXISTING LICENSED OR AUTHORIZED USERS OF PLANGRID’S SOFTWARE PRIOR TO DECEMBER 15, 2018 WHO ARE AT LEAST 18 YEARS OF AGE (OR THE LOCAL AGE OF MAJORITY IN THE JURISDICTION WHERE THE ENTRANT RESIDES, IF HIGHER THAN 18) AS OF THE DATE OF ENTRY. THE CONTEST IS NOT OPEN TO RESIDENTS OF PUERTO RICO, QUEBEC, CUBA, IRAN, NORTH KOREA, SUDAN, SYRIA, OR ANY JURISDICTION WHERE THE CONTEST WOULD BE RESTRICTED OR PROHIBITED BY LAW; WHERE BONDING, REGISTRATION, OR OTHER REQUIREMENTS WOULD BE REQUIRED BUT HAVE NOT BEEN MET; OR WHERE THE METHODS OF ENTRY SET FORTH BELOW WOULD BE DEEMED CONSIDERATION. THE CONTEST IS SUBJECT TO ALL APPLICABLE LAWS AND REGULATIONS.

We are pleased to announce PlanGrid’s 5th Annual Axe Contest! The Axe Contest is a yearly PlanGrid tradition to compete for the ultimate prize: a Best Made axe.  

For this year’s contest, the theme is “Behind the Build.”  We are so used to seeing construction in our daily lives, sometimes it is easy to overlook the intricacies of our trade. From towering cranes and innovative building structures, to the actual boots on the ground raising the offices we sit in, construction is everywhere. The work it takes to produce such feats is nothing short of incredible, and we want to share inspiring stories of projects through photos. Whether it’s capturing people, your team on a job site, or the finished project, we want you to show us what’s behind your project—from plan to completion.  Keep reading for details on how to enter!

SPONSOR. PlanGrid, Inc., 2111 Mission St, San Francisco, CA 94110 (“Sponsor”).

ELIGIBILITY.  

PlanGrid’s 5th Annual Axe Contest (the “Contest”) is open only to individuals who are existing licensed or authorized users of PlanGrid’s software prior to December 15, 2018 and who are at least 18 years of age (or the local age of majority in the jurisdiction where the entrant resides, if higher than 18) as of the date of entry. The Contest is not open to residents of Puerto Rico, Quebec, Cuba, Iran, North Korea, Sudan, Syria, or any jurisdiction where the Contest would be restricted or prohibited by law; where bonding registration, or other requirements would be required but have not been met; or where the methods of entry set forth below would be deemed consideration.  Officers, directors, contractors, representatives, agents, and employees of Sponsor and its corporate parents, subsidiaries, affiliates, advertising and promotion agencies, and any other entity involved in the development or administration of this Contest (Sponsor, collectively with the foregoing, the “Contest Parties”) and members of their immediate families (i.e. spouses, parents, children, siblings, and “steps” of each) and all those persons living in the same household of each, whether or not related, are not eligible to enter or win the Contest. All applicable federal, state, and local laws and regulations apply.

By participating in the Contest, entrants agree to be bound by these official rules (“Official Rules”) and by the decisions of Sponsor and Contest judges appointed by Sponsor in all matters relating to the Contest.

By participating in the Contest, entrant represents and warrants that entrant (i) is not listed on any U.S. Government list of prohibited or restricted parties and (ii) is not subject to any conflicting obligations that may restrict entrant’s participation in the Contest or the use of entrant’s submissions by Sponsor, judges, or other parties as contemplated herein. An entrant who is an employee of the U.S. Government, or who is employed by any other entity that may restrict participation in the Contest, represents and warrants that he or she has obtained all necessary approvals needed to participate in the Contest and submit intellectual property as contemplated by these Official Rules.

ENTRY PERIOD.

The Contest begins at 7:00:00 am PT on December 17, 2018 and ends at 5:00:00 pm PT on January 25, 2019 (“Entry Period”). Sponsor’s computer is the official time keeping device for the Contest.  

HOW TO ENTER.

NO PURCHASE NECESSARY AND NO ENTRY FEE, PAYMENT OR PROOF OF PURCHASE IS NECESSARY TO PARTICIPATE.

Entrants must enter as individuals and may not enter as a team. Maximum limit of (3) entries per person.

During the Entry Period, complete the entry form at https://plangridmktg.typeform.com/to/Jmhnf9, submit a photo (size must be less than 10MB), and provide a 500 word or less explanation about the impact PlanGrid has made on you or your construction team including any statistics of your success (“Essay”). Only one (1) photo and Essay may be submitted per entry.

Your photo must depict one of the following two categories (each a “Category”):

  • Picture Perfect — Show off your latest construction project in all its glory. Submissions to this category include new and innovative designs stunningly executed.
  • Day in the Life — Nothing gets built without teamwork. Submissions to this category highlight the collaboration and camaraderie that exists on construction teams.

Entrant must be the authorized account holder of the e-mail address used to enter the Contest.  The “authorized account holder” is defined as the natural person to whom the e-mail address is assigned by an internet service provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  In the event of a discrepancy between the identity of the authorized account holder, the “winner,” and the entrant, Sponsor reserves the right, in its sole discretion, to determine whether the entry is valid or to declare the entry invalid and select an alternate winner.

By submitting or posting an entry, you represent and warrant that your entry photo and other entry material:

  • is your own original work of authorship or that you have all rights necessary to submit the entry material and to grant the rights to Sponsor to use your entry material as set forth in these Official Rules;
  • does not contain content that violates or infringes another’s rights, including but not limited to, privacy, publicity, copyright, trademark, trade secret, trade dress, patent, or intellectual property rights;
  • does not disparage Sponsor or any other person or party affiliated with the promotion and administration of this Contest;
  • does not contain material that is inappropriate for viewing by a general audience, indecent, lewd, pornographic, obscene, profane, hateful, tortious, defamatory, slanderous or libelous, or that promotes violence, illegal conduct or animal cruelty, all as determined by Sponsor in its sole discretion; and
  • does not contain material that is unlawful in any jurisdiction where the submission is created.

Compliance with the entry requirements will be determined by Sponsor in its sole discretion.  Submissions that violate, as determined by the Sponsor, in its sole discretion, these entry requirements will be disqualified from the Contest.  In the event of any disputes relating to any entries, Sponsor reserves the right to disqualify all entrants associated with the dispute.

You should be able to provide, within five (5) days of request by Sponsor or any judges selected by Sponsor, all appropriate clearances, permissions, and releases for the Contest submission materials to be made publicly available and used by Sponsors in any media and for any purpose, including without limitation, signed releases from you and any third parties appearing in or referenced in your Contest submission materials.  If you are unable to provide such documentation, you will be disqualified from the Contest.

SELECTION AND NOTIFICATION OF WINNERS.

Ten (10) winners will be selected from all eligible entries received during the Entry Period. Judging will be conducted by Sponsor representatives, whose decisions shall be final and binding on all matters relating to the Contest. Eligible entries will be judged and rated according to the following criteria:

  • Quality of photo: 33%
  • Quality of essay: 33%
  • Demonstration of spirit of the applicable category: 34%

In the event of a tie, a Sponsor representative not previously involved in the judging will judge and rate the tied submissions according to the same criteria as stated above to break the tie. The decisions of the judges are final and binding. Sponsor will notify the winner on or about February 6, 2019  by message sent to the entrant’s e-mail address. The winner will be publicly announced by February 7, 2019 (“Public Announcement Date”).

Winners are subject to verification of eligibility, including verification of age and residency and winning is contingent upon fulfilling all requirements of these Official Rules.  

If a winner (i) is determined to be ineligible or otherwise disqualified by Sponsor, (ii) fails to respond to Sponsor’s first winner notification message within one (1) week of notification or after two (2) attempts (whichever occurs first), or (iii) fails to execute any release or affidavit of eligibility required by Sponsor within one (1) week of receipt of initial notification regarding prize winning, the winner will be disqualified and forfeit the prize in its entirety and the Contest judges will select a substitute winner using the criteria described above.

PRIZES.

Each of the two Categories will have one grand prize winner and four finalists, for a total of ten winners (“Winners”).

Each of the two grand prize winners will win a Best Made Hudson Bay Axe., with an approximate retail value (“ARV”) of $348.

Each of the eight finalists will win a Best Made Straight-Hold Hatchet, with an ARV of $98.

The total actual retail value of all prizes offered is $1088.

The prizes are non-transferable and cannot be redeemed or exchanged for cash.  No prize substitution is permitted, except at the sole discretion of the Sponsor. If a prize is unavailable or cannot be awarded for any reason, Sponsor reserves the right in its sole discretion to substitute the prize with one of comparable or greater retail value.

Each prize carries no warranty other than that offered by the manufacturer. Sponsor has neither made nor is responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to each prize, including but not limited to its quality, mechanical conditions, or fitness for a particular purpose. Each Winner agrees to look solely to the manufacturer for any such warranty, representation, or guarantee.

Each Winner is solely responsible for all federal, state, local, or other applicable taxes associated with the acceptance and use of a prize.  All costs and expenses associated with prize acceptance and use not specifically provided herein are the responsibility of each Winner.

Sponsor will pay for the cost of mailing the prize to each Winner. The method of shipping and the carrier will be determined in the sole discretion of Sponsor. All costs and expenses associated with prize acceptance and use not specifically provided herein are the responsibility of each Winner.

SPONSOR’S RIGHT TO USE YOUR NAME, LIKENESS, VOICE, STATEMENTS, BIOGRAPHICAL INFORMATION, AND ENTRY MATERIALS.

Except where prohibited by law, by entering the Contest, you grant the Sponsor and its affiliates, successors and assigns, and others that Sponsor may designate from time to time, the unconditional right, license and permission to use, publish, and broadcast your name, likeness, voice, statements, biographical information, and Contest submission materials (including without limitation, all photo and text content included your submission) worldwide, in any manner of media whatsoever now known or hereafter devised, in perpetuity, on a royalty-free basis, without further compensation or approval, to administer and promote the Contest and for any other commercial, promotional, advertising, publicity, trade, or other lawful purpose.  Such permission includes, in particular but without limitation, use of your name, likeness, voice, statements, biographical information and entry materials to tell your story on websites, on social media, and in databases, blogs, mailers, emails, videos, multi-media works, advertisements, promotions, press releases and other publicity materials, products, services or offerings, in connection with the Contest or Sponsor’s business. You agree to promptly execute and return to Sponsor any confirmation, license, verification or other document or instrument Sponsor requests to confirm, further formalize or perfect the rights granted in this paragraph, or any other rights or interests of Sponsor under these Official Rules. You hereby unconditionally and irrevocably waive all, and the enforcement of all, moral rights that you may have, if any, in your Contest submission materials.  

INDEMNITY.

By entering the Contest, you agree to indemnify, defend, and hold harmless the Contest Parties from any actions, claims, damages, losses or injuries of any kind (collectively “Claims”) arising in connection with any breach or alleged breach of your representations and warranties set forth in these Official Rules.

LIMITATIONS OF LIABILITY OF CONTEST PARTIES.

The Contest Parties assume no liability and are not responsible for, and by entering the Contest you hereby waive and release the Contest Parties from Claims arising in connection with the Contest and/or the receipt, use or misuse of any prize, including without limitation, Claims relating to: (i) the malfunction of any computer, telephone, network, satellite, hardware, software or communications line; (ii) unauthorized human intervention; (iii) incorrect, delayed or inaccurate transmission or capture of Winner notifications, prize claims or other information or communications relating to the Contest, or the failure to capture or transmit any such information; (iv) damage to any person’s computer or mobile device; or (v) any errors in these Official Rules, Winner notifications, or other announcements or communications relating to the Contest. In the event of any ambiguity or error(s) in these Official Rules, Sponsor reserves the right to clarify or modify these Official Rules however it deems appropriate to correct any such ambiguity or error(s).  If due to an error or for any other reason, more legitimate prize claims are received than the number of prizes stated in these Official Rules, Sponsor reserves the right to award only the number of prizes stated in these Official Rules. In no event will more than the stated number of prizes be awarded (i.e. two (2) grand prizes and eight (8) finalist prizes).

 

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND PURSUE ALL OTHER REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.  

 

Sponsor may prohibit an entrant from participating in the Contest or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or any Contest Parties.

 

SPONSOR’S RESERVATION OF RIGHTS.

If the Contest is not capable of running as planned for any reason, including without limitation, due to a force majeure event or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, Sponsor reserves the right, at its sole discretion, to modify, suspend, or cancel the Contest. In the event of cancellation, Sponsor reserves the right to select eligible, non-suspect entrants as the potential Winners based on the eligible entries that earned the next highest score from the judges.   All Contest materials are subject to verification and are void if (a) not obtained through legitimate channels in accordance with these Official Rules, (b) any part is counterfeited, altered, illegible, reproduced, tampered with or otherwise irregular, (c) obtained where prohibited, or (d) they contain printing, typographical, mechanical or other errors.

GOVERNING LAW AND ARBITRATION.

THE CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT REGARD TO ITS CONFLICTS OF LAW PRINCIPLES, AND THE FORUM AND VENUE FOR ANY DISPUTE RELATING TO THE CONTEST SHALL BE IN SAN FRANCISCO COUNTY, CALIFORNIA.

 

ANY CLAIMS AGAINST THE CONTEST PARTIES RELATING IN ANY WAY TO THE CONTEST THAT ARE NOT RESOLVED INFORMALLY THROUGH DIRECT DISCUSSIONS SHALL BE RESOLVED INDIVIDUALLY BY BINDING ARBITRATION, RATHER THAN IN COURT.  YOU ACKNOWLEDGE AND AGREE THAT YOU AND CONTEST PARTIES ARE WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING. All claims arising out of or relating to the Contest or any prize awarded pursuant to these Official Rules shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the “AAA Rules”) then in effect. Any arbitration involving the Contest Parties shall be heard by one arbitrator to be selected in accordance with the AAA Rules, in San Francisco County, California. Unless both entrant and the applicable Contest Parties involved the applicable dispute agree in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of class or representative proceeding. Judgment upon any award rendered may be entered in any court having jurisdiction thereof, and any award or judgment shall be subject to all limitations and releases set forth in these Official Rules and be limited to actual out of pocket damages, and shall not, in any event, include any punitive, exemplary, consequential or incidental damages, attorney’s fees or costs of bringing a claim, or any injunctive or other equitable relief.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY. Notwithstanding the foregoing, you and the Contest Parties each retain the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights.

For the avoidance of doubt, any dispute or arbitration provisions in any Contest Parties’ terms of use or other agreement shall not apply to disputes arising out of or relating to the Contest or any prize awarded pursuant to these Official Rules.

PRIVACY:

Any personally identifiable information collected during an entrant’s participation in the Contest will be collected and used by Sponsor and its designees (i) for the administration and fulfillment of the Contest and (ii) as described in these Official Rules.

WINNERS LIST.

For the names of the Winners, please check blog.plangrid.com where winners will be announced no later than sixty (60) days after the end of the Entry Period.

NO WAIVER/SEVERABILITY/RIGHT TO MODIFY OR DISCONTINUE CONTEST.

Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.  Sponsor reserves the right to modify or discontinue the Contest and update these Official Rules at any time.
